Italcementi has adopted an Internal Dealing Code of Conduct regulating the information regarding transactions of any type carried out on their own behalf by “relevant persons” on financial instruments listed in regulated markets of the European Union and issued by Italcementi S.p.A. and/or its subsidiaries.
“Relevant persons” are required to notify about individual or cumulative transactions when exceeding an overall amount of Euro 5,000.
Relevant persons
- the Board of Directors, the members of the Statutory Board and the Chief Operating Officer of Italcementi S.p.A.;
- the Board of Directors and the members of the Internal Control Body as well as persons performing management functions in a company directly or indirectly controlled by Italcementi S.p.A., if the book value of the holding in the controlled company represents more than fifty per cent of Italcementi’s S.p.A.’s assets based on the latest approved annual financial statements;
- any other person who holds a holding, calculated pursuant to CONSOB Resolution No. 11971 of 14 May 1999, equal to at least ten per cent of the share capital of Italcementi S.p.A. represented by voting shares, as well as any other person who controls Italcementi S.p.A..
